LICENSE AGREEMENT FOR THE USE OF THE “COFEM INSTALLERS” APP

Please read this LICENSE Agreement carefully before using the “Cofem INSTALLERS” App, the use of which is solely designed and authorized (subject to the definitions and limitations below) for the collection of configuration data from COFEM’s “Lyon”, “Zafir” and “Compact Lyon” Fire Alarm and Detection Systems via the “EASY CoNET” software.

By using the Cofem INSTALLERS App, you agree to the terms of this LICENSE AGREEMENT. If you do not agree and do not accept it, do not use the Cofem INSTALLERS App.

  1. IMPORTANT NOTICE ON LIMITATION OF USE OF THE “COFEM INSTALLERS” APP AND HIGH RISK ACTIVITIES.THE “COFEM INSTALLERS” APP IS INTENDED TO BE AN INFORMATIVE TOOL FROM WHICH THE USER CANNOT PERFORM ANY ACTION RELATED TO THE EXTINCTION OR DETECTION OF A FIRE. IN THIS SENSE, IT IS ONLY INTENDED TO BE USED WHERE THERE IS ALREADY A TEAM IN CHARGE OF THE DETECTION AND POSSIBLE EXTINGUISHING OF THE FIRE.1.2 THE “COFEM INSTALLERS” APP IS INTENDED AS AN INFORMATIVE TOOL FROM WHICH THE USER CANNOT PERFORM ANY ACTION RELATED TO THE EXTINGUISHING OR DETECTION OF A FIRE. IN THIS SENSE, IT IS ONLY INTENDED TO BE USED WHERE THERE IS ALREADY AN EXISTING FIRE DETECTION AND EXTINGUISHING EQUIPMENT.1.3 THE “COFEM INSTALLERS” SOFTWARE IS NOT DESIGNED OR INTENDED TO BE USED IN HAZARDOUS ENVIRONMENTS THAT REQUIRE ERROR-PROOF OPERATION. THE PROPER FUNCTIONING OF THE SOFTWARE WILL BE LIMITED BY THE HARDWARE, THE ELEMENTS INSTALLED IN IT, THE COMMUNICATIONS AND THEIR CORRESPONDING PROTECTIONS.1.4 ANY EXPLICIT OR IMPLICIT WARRANTY OF SUITABILITY OF THE “COFEM INSTALLERS” SOFTWARE FOR THIS TYPE OF ACTIVITIES IS EXPRESSLY REJECTED.
  1. LICENSE OF USE
    2.1 COFEM is the Spanish company COFEM, S.A., domiciled at Ctra. de Molins de Rei a Rubí, Km 8,4, Rubí (Barcelona), E-08191, and holder of Fiscal Identification Number A-08537144 (hereinafter, “COFEM”). COFEM is the owner of the rights over the App “Cofem INSTALLERS” and the software “EASY CoNET”, as well as the Fire Detection and Alarm Systems “Lyon”, “Zafir” and “Compact Lyon”.

2.2 The App “Cofem INSTALLERS”, is an Android application to assist in the configuration of COFEM’s fire alarm control panels, in particular COFEM’s “Lyon”, “Zafir” and “Compact Lyon” Fire Alarm and Detection Panels, which can upload and download configuration information to the “EASY CoNET” software.

2.3 The Licensee is the natural or legal person to whom COFEM hereby authorizes the right to use the Cofem INSTALLERS App expressly, with the limits and conditions herein indicated.

2.4 The User is the natural person who exercises on behalf of Licensee the right to use Licensee’s Cofem INSTALLERS App. Licensee may only designate as User persons with whom it has a contractual relationship of an employment nature or who have an employment relationship with companies that provide specific fire detection and alarm services to Licensee and such companies are not companies that compete in the market with COFEM offering the same – or very similar – type of products and services.

2.5 The Licensee’s right to use the Cofem INSTALLERS App and the exercise of this right of use by the User shall always be subject to this LICENSE AGREEMENT.

2.6 Neither the use of the “Cofem INSTALLERS” App by Licensee and/or User nor the acceptance of the terms of this LICENSE AGREEMENT grants Licensee or User any rights not specified herein to the “Cofem INSTALLERS” App.

2.7 This LICENSE agreement binds the User vis-à-vis the Licensee and COFEM and the Licensee vis-à-vis COFEM.

2.8 Accordingly, the license to use, which is granted via this LICENSE AGREEMENT to Licensee, is non-exclusive, non-transferable, limited to the territory essential for the satisfaction of the purposes of this LICENSE AGREEMENT and for the duration of this LICENSE AGREEMENT, conditional upon the terms of this LICENSE AGREEMENT and full compliance by both Licensee and User.

2.9 The exercise of the right to use Licensee’s “Cofem INSTALLERS App” by Licensee is transferable to other Users identified by Licensee, shall be limited to the territory necessary to satisfy the purposes of the LICENSE Agreement and the term of this LICENSE Agreement and shall be in accordance with the terms and conditions set forth in this LICENSE Agreement. Licensee’s exercise of the right to use the “Cofem INSTALLERS App” by Licensee shall be conditioned on Licensee’s and User’s compliance with the provisions of this LICENSE AGREEMENT and Licensee has not withdrawn Licensee’s authorization to use the “Cofem INSTALLERS App” on Licensee’s behalf.

  1. LIMITATIONS FOR THE USE OF THE “COFEM INSTALLERS” APP.3.1 The LICENSE to use granted by this LICENSE Agreement to Licensee and to be exercised by User on behalf of Licensee is granted only for a Specified Computing Device. A “Specified Computing Device” is a mobile device that complies with all of the provisions of this LICENSE Agreement and the on-screen help accompanying the “Cofem INSTALLERS App”.

3.2 Subject to the limitations detailed in this LICENSE Agreement and in the on-screen help accompanying the “Cofem INSTALLERS App”, the User may uninstall the “Cofem INSTALLERS App” and install it on another device for its use, provided that such devices are compatible as required for the same. However, it will not be able to do so if it is to share this license between different devices.

3.3 THE USE OF THE “COFEM INSTALLERS” APP MAY ONLY BE USED FOLLOWING SPECIFIC AND EXPRESS INSTRUCTIONS FROM THE LICENSOR. IT IS EXPRESSLY FORBIDDEN TO USE IT TO DECONFIGURE COFEM’S SWITCHBOARDS THAT HAVE NOT BEEN EXPRESSLY AUTHORIZED BY THE LICENSEE. CONSEQUENTLY, THE LICENSOR MUST IMPLEMENT THE NECESSARY MEASURES TO PREVENT UNAUTHORIZED THIRD PARTIES FROM USING THE “COFEM INSTALLERS” APP IN A MANNER CONTRARY TO THIS LICENSE AGREEMENT, AND THE USER MUST FOLLOW SUCH SECURITY MEASURES AS MAY BE INSTRUCTED BY THE LICENSEE FOR THIS PURPOSE.

3.4 The LICENSE of use, conferred by this LICENSE Agreement grants the right to use the App “Cofem INSTALLERS” on the device of your choice as long as it complies with what is stated in this LICENSE Agreement, in particular its limitations and warnings, and is installed with an Android operating system from version 2.2 to version 4.4.2, exclusively for the detection and alarm centers covered by this LICENSE Agreement. In other environments and under other circumstances, the “Cofem INSTALLERS” App is not tested and, therefore, it is not guaranteed to work correctly.

3.5 In addition, the “Cofem INSTALLERS” App will require for its use all of the following:

a) That the User has Internet access and the device with which the “Cofem INSTALLERS” App is used is currently connected to the Internet.

b) That the EASY CoNET software is operational and connected to the Internet, as well as the Licensee’s computers and mobile devices through which the corresponding e-mails on fire-related incidents are received.

c) That the services used by the App “Cofem INSTALLERS” that run with Google functionalities are operational.

d) That the applications installed on the device on which the User has installed the App “Cofem INSTALLERS” do not obstruct the operation of the App “Cofem INSTALLERS” for reasons of hardware, capacity or memory management.

3.6 USE OF THE “COFEM INSTALLERS APP” FOR A PURPOSE OTHER THAN THAT FOR WHICH IT IS LICENSED, AS WELL AS UNDER CIRCUMSTANCES OTHER THAN THOSE DETAILED IN THIS LICENSE AGREEMENT AND IN THE ON-SCREEN HELP ACCOMPANYING THE “COFEM INSTALLERS APP”, IS NOT PERMITTED. IN PARTICULAR, USE OF THE “COFEM INSTALLERS APP” IS PROHIBITED IN VIOLATION OF THIS LICENSE AGREEMENT.

3.7 In addition to everything detailed in this LICENSE Agreement, the LICENSE granted is subject to the following limits:

a) The App “Cofem INSTALLERS” can only be used in a mechanically readable form (in object code or executable mode).

b) The “Cofem INSTALLERS” App shall be installed in whole or in part, stored and used only on the Specified Computing Device in accordance with the Licensor’s installation instructions.

c) One (1) copy of the “Cofem INSTALLERS” App may be made solely for security and archival purposes, which copy shall bear a copyright notice together with all additional references to COFEM’s rights in the “Cofem INSTALLERS” App and the designation of the original version, including references to third parties.

d) To the maximum extent permitted by mandatory rules of applicable law, you may only use the “Cofem INSTALLERS” App in the manner permitted under this LICENSE and beyond that permitted by the free licenses below:

  • Neither the “Cofem INSTALLERS” App nor any part thereof (except to the extent of any freely licensed components – see below) shall be altered in any way (including, without limitation, modifications, adaptations, translations, or derivative or successive versions).
  • The “Cofem INSTALLERS” App or any part of it will not be decompiled.
  • You shall not disassemble the “Cofem INSTALLERS” App, or any part thereof, or reverse engineer the “Cofem INSTALLERS” App, or any part thereof, or otherwise manipulate the same in any way that persons may read the same.
  • The “Cofem INSTALLERS” App, or any part of it, will not be moved to another operating system.
  • The “Cofem INSTALLERS” App, or any part thereof, shall not be communicated to a third party or otherwise made available to a third party (including, without limitation, for testing or as a gift, loan, lease or sub-license, or via a service bureau) unless prior written consent has been obtained from COFEM.
  • The “Cofem INSTALLERS” App, or any part thereof, shall not be used on a smartphone, computer or terminal other than the Specified Computing Device, or on more than one computer, on networks, or on a client server or an additional mobile instrument.

e) The LICENSE conferred by this LICENSE AGREEMENT does not cover or extend to the use of third party computer programs in which Licensee and User shall have the rights granted to them by such third parties under their applicable licenses as set forth below. In this regard, Licensee’s right and its extension to User to use any such computer programs shall be governed by the provisions set forth by such third party.

  1. MODIFICATIONS TO THE “COFEM INSTALLERS” APP.

4.1 The User and Licensee acknowledge and accept that the “Cofem INSTALLERS” App may adapt to technical evolution and improve accordingly, COFEM may cease the development of the “Cofem INSTALLERS” App contracted by the Licensee and, where appropriate, COFEM may also develop different ones. The Licensee may opt for the User to stop using the “Cofem INSTALLERS” App or hire a different solution according to the migration policy established by COFEM, to which the User agrees to accept the same in any case, adapting their equipment and the “Cofem INSTALLERS” App to the new solution if necessary. Migration to the new solution may or may not be free of charge depending on the resources COFEM has allocated to the research and development of the new solution and the degree of difference in the quality of such solution with respect to the replaced one, in which case it shall be conditioned to the corresponding payments to be made by the Licensee to COFEM.

4.2 The User accepts all such changes without prior notice and without demanding any compensation from either Licensee or COFEM. COFEM is only obliged to notify such changes to the Licensee, who shall accept them without demanding any compensation whatsoever.

4.3 Likewise, the User and the Licensee must take into account that if the services and/or features of the “Lyon”, “Zafir” and “Compact Lyon” Fire Alarm and Detection Systems and/or the “EASY CoNET” software and/or the “Cofem INSTALLERS” App have been modified to adapt to technological evolution, the User and the Licensee must change to a new version of the “Cofem INSTALLERS” App or to a new solution as established by COFEM.

4.4 If Licensee switches to a new version of the “Cofem INSTALLERS” App or to a new COFEM solution, to update a previous version of the “Cofem INSTALLERS” App or to update to the new COFEM solution, the updated version or solution shall be the only one that the User may use, accepting the terms and conditions of the documentation, material, specifications, and on-screen help accompanying the new version of the “Cofem INSTALLERS” App or new COFEM solution. The Licensee and the User shall also be obliged to remove any material corresponding to the previous version of the “Cofem INSTALLERS” App.

4.5 The User and Licensees acknowledge and accept that COFEM may provide updates or add-ons to the “Cofem INSTALLERS” App that will be downloaded automatically, without COFEM being obliged to do so by default.

  1. PROCEDURE FOR NOTIFICATION OF DEFECTS IN THE “COFEM INSTALLERS” APP AND WARRANTIES.

5.1 The User and Licensee are hereby informed that the “Cofem INSTALLERS” App will function substantially in accordance with the specifications in the accompanying on-screen help. COFEM does not warrant that the “Cofem INSTALLERS” App will be free of defects, operate without interruption, meet the User’s expectations, or operate in combination with the hardware or software of third party products, or that all errors in the “Cofem INSTALLERS” App will be corrected.

5.2 If there is any defect in the “Cofem INSTALLERS” App, as well as in the descriptive documentary material thereof, the User undertakes to document (if applicable, to reproduce) the defect, which must be brought to the attention of COFEM through the Licensee as soon as possible. COFEM shall be informed by Licensee within two (2) days after detection of the problem. Otherwise, COFEM shall be exempted from any liability or warranty duty to the maximum extent permitted by the mandatory rules.

5.3 COFEM may solve the problems affecting the substantial operation of the same, using reasonable means and deadlines. Notwithstanding the foregoing, COFEM is not responsible for the differences that external technical means may cause to the proper functioning of the App “Cofem INSTALLERS”.

5.4 For a defect in the “Cofem INSTALLERS” App to be sufficiently material to cause COFEM to be obligated to repair or replace the “Cofem INSTALLERS” App, the defect must cause the “Cofem INSTALLERS” App (while used in the manner permitted in this LICENSE Agreement and in accordance with the on-screen help accompanying the Cofem INSTALLERS App) to function in a manner so divergent from that set forth in the specifications as to render it unsuitable for the purpose described in the description thereof. Likewise, if the required functionality can be achieved by the User or Licensee in an indirect way or through an alternative way that circumvents the problem, then the detriment shall not constitute a defect giving rise to COFEM’s obligations under the foregoing warranty.

5.5 Neither the User nor Licensee shall carry out modifications or repairs on their own or allow such modifications or repairs to be carried out by unauthorized third parties. When requested by COFEM or Licensee, User shall support them in the analysis of the causes and conditions giving rise to the defect, as well as in the development and testing of correction codes or in an indirect or alternative solution.

5.6 The only remedies for defects in the “Cofem INSTALLERS” App are those of the express warranty set forth above. The “Cofem INSTALLERS” App is licensed to Licensee and Licensee’s authorized User is permitted to exercise Licensee’s right of use on an “as is” and “as available” basis, without warranty of any kind whatsoever, other than the foregoing. Such express warranty is given in lieu of all other warranties, express or implied, whether in fact or by law, regulation or otherwise, including warranties, covenants or conditions of merchantability, fitness for a particular purpose, satisfactory quality and non-infringement, each of which is expressly excluded. The User and Licensee acknowledge that COFEM’s distributors or agents are not authorized to provide any warranty of any kind or representation regarding the use, suitability, or results of use of the “Cofem INSTALLERS” App, or regarding the accuracy, correctness or reliability mentioned therein, and no such warranties or representations shall have any effect whatsoever, other than those contained in this LICENSE AGREEMENT. It shall be the responsibility of the Licensee to select the “Cofem INSTALLERS” App to meet its needs. The User and the Licensee may not transfer to COFEM the responsibility – nor the application of any warranty – for all risks regarding the performance and results obtained by the Cofem INSTALLERS App or its suitability for the programmed and expected use.

5.7 It shall be understood that COFEM is released from its obligations under this express warranty when the defect has been caused by circumstances for which COFEM is not responsible, including, but not limited to: (a) non-compliance with the conditions of use and operation contained in the description of the “Cofem INSTALLERS” App, and in particular the on-screen help accompanying the Cofem INSTALLERS App; (b) non-compliance with the provisions of this LICENSE Agreement; (c) unauthorized modifications to or interference with the “Cofem INSTALLERS” App either by the User, Licensee or third parties; (d) errors in the use of the “Cofem INSTALLERS” App by the User, Licensee or third party personnel; (e) influences of systems or programs that have not been supplied by COFEM or Licensee; or (f) use on a computing device other than the Specified Computing Device.

  1. INTELLECTUAL PROPERTY RIGHTS.

6.1 The Licensee (and, by extension, the User) shall only hold those rights relating to the “Cofem INSTALLERS” App that have been expressly described and assigned in this LICENSE AGREEMENT. Any other rights in relation to the “Cofem INSTALLERS” App, including but not limited to, property rights, copyrights, patents, trademarks, trade secrets and any other intellectual or industrial property rights, shall remain the exclusive property of COFEM or, as the case may be, its licensees of which COFEM is the beneficiary.

6.2 For all appropriate purposes, the User and the Licensee are hereby informed that the specific opensource licenses applicable to the libraries for capturing QR codes “android_QRCode”, “actionbarsherlock” and “Installers”, can be consulted in the license texts that are available to the User in the installation directory of the App “Cofem INSTALLERS”. Notwithstanding anything that may be set forth in this LICENSE AGREEMENT as legally permissible limitations to the mandatory rules thereof, it is expressly stated that the User and the Licensee may perform all that is determined in such mandatory rules.

6.3 Neither the User nor the Licensee shall remove from the “Cofem INSTALLERS” App any reference to copyrights, trademarks or other proprietary rights, nor cover or obscure, in any manner whatsoever, any such references, nor plagiarize them in other solutions. The User and the Licensee shall take all reasonable measures to prevent any unauthorized use, reproduction, sale or publication of the “Cofem INSTALLERS” App or unauthorized access thereto.

6.4 The User and the Licensee shall jointly and severally indemnify and hold harmless COFEM from any losses, damages, claims and expenses (including, but not limited to, reasonable legal expenses for defense and representation in court) related to breaches by the Licensee and/or the User of this LICENSE AGREEMENT.

7. RESPONSIBILITIES

7.1 COFEM shall not be liable or responsible to any person or entity for any damages allegedly caused by the use or non-use of the “Cofem INSTALLERS” App, either directly or indirectly, including (but not limited to) work interruptions, economic losses or loss of anticipated profits as a result of the use thereof.

7.2 The User and the Licensee are responsible for the use of the App “Cofem INSTALLERS” made by other persons using it, having been warned above of the obligations on the prohibition not to share the use of the said App “Cofem INSTALLERS”. Therefore, the User and the Licensee assume any damages, losses and/or costs that may arise from all this and, in particular, from the incompatibilities between the App “Cofem INSTALLERS”, or its updates, and the software owned by third party companies that the User or the Licensee may have installed on their device, as well as other problems that may arise from the interaction between the two programs and, in particular, by sharing the use of the App “Cofem INSTALLERS” with third parties in breach of the instructions and obligations of this LICENSE AGREEMENT.

7.3 The Licensee shall be solely responsible for ensuring that, prior to the use of the “Cofem INSTALLERS” App, the User has the necessary knowledge for the proper installation and use of the “Cofem INSTALLERS” App, as well as the terms of this LICENSE AGREEMENT. COFEM shall not be liable for any problems or defects that may arise as a result of insufficient knowledge by Users or Licensee of the “Cofem INSTALLERS” App.

7.4 To the extent permitted by applicable law, COFEM shall not be liable to the User or Licensee for any loss or damage, whether direct, indirect or consequential, including but not limited to, loss of profits, unrealized cost reductions, loss of data, increased costs by the User and/or Licensee or any other financial losses, resulting from or related to the purchase, license, use, failure or interruption of the operation of the “Cofem INSTALLERS” App and the services offered by COFEM through the same. The foregoing limitation of liability shall also apply in the event that COFEM has been notified of the possibility of incurring such losses. COFEM shall only be liable for losses or damages caused by COFEM’s grossly negligent or willful misconduct. This limitation of liability shall apply to all claims for loss or damage regardless of their legal grounds, including, but not limited to, claims based on tort, contract, pre-contractual or quasi-contractual liability. This limitation of liability shall also apply to all officers, directors, or employees of COFEM, or any representative, distributor or agent of COFEM who are involved in the development, marketing, commercialization or supply of the “Cofem INSTALLERS” App.

7.5 In no event shall COFEM be liable for damages in excess of the amounts actually paid by Licensee to COFEM or a COFEM distributor – to the extent received by COFEM – to obtain the “Lyon” Fire Alarm and Detection Systems, “Zafir” or “Compact Lyon” from COFEM plus those paid to obtain access to certain functionalities of the “EASY CoNET” software and/or the “Cofem Guard” App corresponding rights to license the User to use the “Cofem INSTALLERS” App, even if the User or Licensee had informed COFEM of the possibility of such damages.

7.6 The validity of the warranties and liabilities, or the limitations thereof, set forth in this license of use, shall be subject to the provisions of the applicable laws of the various States and/or Jurisdictions, as the case may be.

7.7. In any case, COFEM shall be released from its responsibilities to the User and/or Licensee if the “Cofem INSTALLERS” App: (a) has been modified by the User and/or Licensee; or (b) is being used with other programs or data and such combination has led to the infringement of a third party’s right: (c) has been used on a computing device other than the Specified Computing Device; (d) has been used and applied under conditions other than those specified in the description thereof; or (f) has been used for purposes other than those for which it is licensed by this LICENSE AGREEMENT.

  1. RESOLUTION.

8.1 Without prejudice to any other termination right provided for in this LICENSE Agreement, either party shall be entitled to terminate this LICENSE Agreement at any time and with immediate effect in the event of breach of a contractual obligation by another party, including without limitation, breach by Licensee or User of its contractual obligations with COFEM or its distributors or agents, especially in the contractual relationships referred to in clause 8.5, if the defaulting party fails to remedy such default within thirty (30) days after being notified in writing.

8.2 Upon termination of this LICENSE AGREEMENT for any reason whatsoever, all rights to use the “Cofem INSTALLERS” App held by the User and the Licensee shall expire. As soon as possible after the termination of this LICENSE AGREEMENT, the User and/or the Licensee shall uninstall and destroy the “Cofem INSTALLERS” App and all copies or partial copies that have been made thereof, as well as all modified parts thereof or interconnected parts connecting to other programs or data systems and, to the extent possible, all security mechanisms.

8.3 In the event of Termination or in the event that the User and/or Licensee do not agree to the terms and conditions of this LICENSE AGREEMENT, neither the User nor the Licensee shall be authorized to use the “Cofem INSTALLERS” App.

  1. APPLICABLE LAW AND JURISDICTION.

9.1 Within the limits imposed by mandatory rules, this LICENSE AGREEMENT shall be governed by the common law laws of Spain, excluding its conflict of laws rules and excluding the United Nations Convention on the International Sale of Goods.

9.2 Likewise, the competent courts shall be the ordinary courts of Barcelona, Spain. COFEM shall also have, at its sole discretion, the right to invoke as competent the courts of the domicile or place of business of Licensee and/or User.

  1. GENERAL PROVISIONS.

10.1 Nothing in this LICENSE AGREEMENT shall be construed to prejudice any rights that either party may have under mandatory rules.

10.2 If any part of this LICENSE AGREEMENT is determined to be void and unenforceable, this shall not affect the validity of the remainder of this LICENSE AGREEMENT, which shall remain valid and enforceable in accordance with its terms and shall be deemed superseded by the most similar principles that have been established by this LICENSE AGREEMENT.

10.3 This LICENSE Agreement may only be modified by a writing signed by an authorized representative of COFEM. COFEM may grant a license to Licensee for updates with additional or different terms.

10.4 This LICENSE Agreement represents COFEM’s entire agreement with the Licensee (and, by extension, the User) in connection with the “Cofem INSTALLERS” App, and supersedes any prior representations, discussions, undertakings, communications or advertising related thereto.

10.5 COFEM reserves the right at all times to update or modify the terms and conditions of the LICENSE Agreement, which shall become effective at any time and in any manner provided that Licensee has notified COFEM at least 30 days in advance. If Licensee does not wish to be bound by the LICENSE Agreement after such modification, Licensee may terminate the same upon notice to COFEM prior to its entry into force; if User does not wish to be bound by the LICENSE Agreement after such modification, User shall cease using the “Cofem INSTALLERS” App and shall notify Licensee accordingly.

10.6 COFEM expressly reserves any rights that may correspond to it and that were not granted to Licensee (and, by extension, to the User) under this LICENSE Agreement.
